well thanks for the replies. i did run the "rebuild iPhoto database" as you mentioned. both automatically (which did nothing except load iPhoto w/ no photos and froze) and manually (which iPhoto loaded and i was able to drag the "iPhoto Folder" in Finder to the App). Great! everything was fine...
