Most Kernal panics are caused by a hardware failure - usually memory.

Run the Disk Utility on the OS CD. (book from the OS CD.

Did you get the Hardware test CD? I'd run that just to make sure there isn't a hardware problem.

Yeah I have that cd. The hardware test freezes about 60% of the way through.

I'm hoping it's memory, and not the actual CPU.

I will try the Disk Utilitiy

I installed new memory. This time the hardware test (from the cd) works fine :).

Still when both cpus are at 100%, the kernel panics. :(

Well, your experience is interesting, because my 8600 will KP if I even THINK about overclocking the G4 card... seems like there is some wonderful timing issues with OS X and upgrade cards.

Dunno exactly why this could be causing problems with you though.
 
Did you try lower the speed of your CPUs ?

Maybe OS-X does some trick to accelerate something (memory access, cache access) and the card is not optimized for that and crashes ?

Any cache speed problems ?
